1. Introduction

These Terms and Conditions govern your use of the Payra Port Authority Smart Access Management mobile application(s) (hereinafter referred to as "the App(s)"), provided by Payra Port Authority, Ministry of Shipping, Government of the People's Republic of Bangladesh.

By downloading, installing, or using the App(s), you agree to be bound by these Terms and Conditions.

2. Definitions

Payra Port Authority: Refers to the Payra Port Authority, a statutory body established under the laws of Bangladesh.

User: Refers to any individual or entity accessing or using the App(s).

Account: Refers to the user account created to access the App(s).

Access Credentials: Refers to the user's username, password, PIN, biometric data, or any other authentication method used to access the App(s).

Port: Refers to the Payra Port and its premises.

Data: Refers to any information, data, or content transmitted, stored, or processed through the App(s).

3. User Accounts and Access

Account Creation:

Users may be required to create an Account to access certain features of the App(s). The registration process may require users to provide specific information as requested by Payra Port Authority.

Users must be at least 18 years of age or have the legal capacity to enter into a binding agreement to create an Account.

Users are responsible for maintaining the confidentiality of their Account information and Access Credentials. Users must notify Payra Port Authority immediately of any unauthorized access to or use of their Account.

Access Credentials:

Access Credentials are provided for the sole purpose of authorized access to the Port through the App(s). Users are strictly prohibited from sharing, transferring, or misusing their Access Credentials.

Payra Port Authority may implement security measures, including biometric authentication, to verify user identity and ensure secure access.

Account Suspension/Termination:

Payra Port Authority reserves the right to suspend or terminate User Accounts at its sole discretion, including but not limited to, for any violation of these Terms and Conditions, unauthorized access, security breaches, or non-compliance with Port regulations.

Users may terminate their Accounts by following the procedures provided within the App(s), if available.

4. Acceptable Use

Prohibited Activities:

Users shall not use the App(s) for any unlawful purpose or in any way that violates applicable laws, regulations, or Payra Port Authority policies. Prohibited activities include, but are not limited to:

• Unauthorized access to the App(s), Port systems, or other user accounts.
• Attempting to interfere with the App(s)'s functionality, security, or integrity.
• Transmitting any malicious software, viruses, or harmful code through the App(s).
• Collecting or harvesting any information from the App(s) without authorization.
• Using the App(s) to facilitate any illegal or fraudulent activities.
• Users shall not use the App(s) in any manner that could damage, disable, overburden, or impair the App(s) or the Payra Port Authority's infrastructure.

Compliance:

Users shall comply with all applicable laws, regulations, and Payra Port Authority policies, including but not limited to, those related to Port security, safety, and operations, while using the App(s).

5. Data and Privacy

Payra Port Authority's collection, use, and disclosure of User Data are governed by the Payra Port Authority Privacy Policy, which is available at [Link to Privacy Policy].

6. Intellectual Property

The App(s) and all associated content, including but not limited to, software, text, graphics, logos, and trademarks, are owned by Payra Port Authority or its licensors and are protected by intellectual property laws of Bangladesh.

Users are granted a limited, non-exclusive, non-transferable license to use the App(s) solely for the purpose of accessing and managing Port access as authorized by Payra Port Authority. Users shall not copy, modify, distribute, create derivative works of, or reverse engineer the App(s) without the express written consent of Payra Port Authority.

7. Disclaimers and Limitations of Liability

The App(s) are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement.

Payra Port Authority shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use or inability to use the App(s), including but not limited to, damages for loss of profits, data, or other intangible losses, even if Payra Port Authority has been advised of the possibility of such damages. To the maximum extent permitted by applicable law, Payra Port Authority's liability shall be limited to the extent permissible under the laws of Bangladesh.

8. Indemnification

Users agree to indemnify, defend, and hold harmless Payra Port Authority, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with their use of the App(s) or any violation of these Terms and Conditions.

9. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh.

Any dispute arising out of or relating to these Terms and Conditions shall be resolved through good faith negotiations. If such negotiations fail, the dispute shall be resolved through the appropriate courts of Bangladesh.

10. Changes to Terms

Payra Port Authority reserves the right to modify or update these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting the revised Terms and Conditions within the App(s) or on the Payra Port Authority website.

Continued use of the App(s) after any such changes shall constitute User's acceptance of the revised Terms and Conditions.
